Terms of Service

elaichi labs is an AI-first operating system for cafes and coffee shops, operated by Elaichi Co. LLC ("elaichi labs," "we," "us"). These Terms of Service ("Terms") govern your access to and use of the elaichi labs platform, including the website at labs.elaichico.com, our applications, and any connected service integrations (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

You must be at least 18 years old and authorized to bind a business to these Terms. The Service is intended for business use, not personal or consumer use.

You're responsible for keeping your credentials secure and for everything that happens under your account. Notify us immediately at security@elaichico.com if you suspect unauthorized access.

You agree not to:

• Use the Service to violate any law or regulation;
• Reverse-engineer, decompile, or attempt to extract source code, except to the extent applicable law permits;
• Interfere with or disrupt the Service or its underlying infrastructure;
• Use the Service to send spam, malware, or harmful content;
• Resell, sublicense, or otherwise commercially redistribute the Service without our written consent;
• Use the Service to process data of third parties without their lawful authorization.

The Service connects to third-party platforms you authorize, including Square, Mercury, QuickBooks Online, Gusto, Shopify, TikTok Shop, TikTok Ads, Google Workspace (Gmail, Drive), Slack, and Homebase. When you connect one of these, you authorize us to read data from that service on your behalf for the purposes described in our Privacy Policy. You can disconnect any integration at any time from your account settings or from the third-party platform itself; that revokes our access on a forward-looking basis.

Your use of each connected service is also subject to that service's own terms and privacy policy. We are not responsible for the availability, accuracy, or content of those services.

The Service uses large language models (currently Anthropic Claude) to generate forecasts, classifications, summaries, agent communications, and other outputs. These outputs are advisory only. You are solely responsible for decisions you make based on them, including financial, accounting, payroll, and operational decisions. Always verify material outputs against the source data and apply professional judgment.

You retain all rights, title, and interest in the data you upload, connect, or otherwise provide ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service, to the extent permitted by our Privacy Policy.

We retain ownership of the Service itself, including all software, designs, models, and underlying infrastructure.

Pricing, plans, and any free trial terms are described on our website or in your order form. We may change pricing on reasonable notice; changes apply on the next renewal.

Both parties will protect each other's confidential information using at least reasonable care, and will use it only to perform under these Terms. Customer Data is your confidential information.

You can stop using the Service at any time. We can suspend or terminate your access for material breach of these Terms, unlawful use, or non-payment, with reasonable notice except in cases of urgency. On termination we will delete or return your Customer Data on your reasonable request, subject to legal retention requirements (see Privacy Policy).

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any forecast or AI output will be accurate.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total aggregate liability under these Terms will not exceed the fees you paid us in the twelve months preceding the claim.

You will defend and indemnify us from third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in San Francisco County, California; both parties consent to personal jurisdiction there.

We may update these Terms from time to time. If a change is material, we will notify you via email or in-product notice at least seven days before it takes effect. Continued use after the effective date constitutes acceptance.
